Agreement to Terms

Welcome to Memorized That. These Terms of Service ("Terms") govern your access to and use of the Memorized That website, services, and applications (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service.

Memorized That is operated by Memorized That Inc. ("we", "us", or "our").

1. Eligibility

To use the Service, you must:

  • Be at least 13 years old to create an individual account
  • Be at least 18 years old to create an organization account (Corporate or Group)
  • Be at least 18 years old to apply as a Content Creator
  • Provide accurate and complete registration information, including date of birth
  • Maintain the security of your account credentials
  • Not be prohibited from using the Service under applicable law

Children under 13 may only access the Service through an organization account (school, tutoring group, or family account) where the account administrator acts on behalf of the parent or guardian.

For users between 13 and 18, a parent or legal guardian must review and agree to these Terms on your behalf.

2. Account Registration and Security

2.1 Account Creation

You must create an account to use most features of the Service. You agree to:

  • Provide true, accurate, current, and complete information
  • Maintain and promptly update your account information
  • Use only one account unless authorized otherwise
  • Not impersonate any person or entity

2.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your password
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

We are not liable for any loss or damage arising from unauthorized account access due to your failure to maintain account security.

2.3 Verified Accounts

Verified Badge: When you see a verified checkmark next to a creator or organization, it means Memorized That has confirmed their identity.

The verified badge indicates that:

  • We have verified the account holder is who they claim to be
  • The creator or organization has completed our identity verification process
  • The account is authentic and not an impersonator

Important: Verification confirms identity only—it does not constitute an endorsement of the creator's content, qualifications, or expertise. Users should still evaluate content quality and accuracy independently.

3. Subscription Plans and Payments

3.1 Account Types

We offer Individual, Group, and Corporate account types with different features and pricing as described on our Pricing page.

3.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • You authorize us to charge your payment method for all fees
  • Prices are subject to change with 30 days notice
  • All fees are non-refundable except as required by law
  • Failed payments may result in service suspension

3.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will not receive a refund for the remaining period.

3.4 Free Tier

Our free tier is provided "as-is" and may be modified or discontinued at any time. We reserve the right to impose usage limits on free accounts.

4. Acceptable Use Policy

You agree NOT to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Use automated tools to scrape or access the Service
  • Interfere with or disrupt the Service
  • Create accounts through automated means
  • Share your account with others (except as allowed for organization accounts)
  • Use the Service for illegal or fraudulent purposes
  • Harass, abuse, or harm other users
  • Reverse engineer or attempt to extract source code

4.1 Prohibited Content

The following types of content are strictly prohibited on Memorized That:

  • Violent content – Depictions or promotion of violence, gore, harm to people or animals, or threats of violence
  • Pornographic or sexually explicit content – Nudity, sexual acts, or sexually suggestive material
  • Hate speech – Content that promotes hatred, discrimination, or violence against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics
  • Harassment and bullying – Content intended to harass, intimidate, or demean specific individuals
  • Illegal activities – Content promoting or facilitating illegal activities, including drug use, weapons trafficking, or fraud
  • Dangerous or harmful content – Instructions for dangerous activities, self-harm, or content that could endanger others
  • Misinformation – Deliberately false content designed to deceive or mislead
  • Spam and scams – Deceptive content, phishing attempts, or unsolicited commercial content
  • Child exploitation – Any content involving the sexual exploitation or abuse of minors (zero tolerance)

4.2 Content Review and Enforcement

We reserve the right to review, moderate, and remove any content that violates these policies. When prohibited content is identified:

  • Content will be immediately removed from the platform
  • The creator will be notified of the violation
  • The account may be suspended pending review

4.3 Consequences for Violations

Repeated or severe violations will result in permanent account termination.

Depending on the severity and frequency of violations:

  • First offense (minor): Warning and content removal
  • Second offense: Temporary suspension and content removal
  • Third offense or severe violation: Permanent account termination
  • Egregious violations (e.g., child exploitation, threats of violence): Immediate permanent ban and potential reporting to law enforcement

Creators, educators, organizations, and all other users are subject to these policies. No refunds will be provided for accounts terminated due to policy violations. We may also ban users from creating new accounts.

5. Content and Intellectual Property

5.1 Your Content

You retain ownership of all flashcards, study materials, and content you create ("Your Content"). By using the Service, you grant us a limited license to:

  • Store and process Your Content to provide the Service
  • Display Your Content to you and authorized users (e.g., your organization members)
  • Make backup copies for disaster recovery

You represent and warrant that:

  • You own or have rights to all content you upload
  • Your Content does not violate any third-party rights
  • Your Content complies with all applicable laws

5.2 Our Intellectual Property

The Service, including its design, features, software, and branding, is owned by Memorized That Inc. and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or create derivative works based on the Service without our prior written permission.

5.3 Content Removal

We reserve the right to remove any content that violates these Terms or our policies, or for any other reason at our sole discretion.

6. User-Generated Content Disclaimer

IMPORTANT DISCLAIMER

Memorized That does NOT create, endorse, verify, or guarantee the accuracy of user-generated content.

Courses, learning packs, flashcards, and other educational materials shared on this platform are created by individual users and third parties. We are a platform that hosts and distributes this content but have no control over and assume no responsibility for its accuracy, completeness, legality, or reliability.

6.1 No Endorsement

The presence of any course, learning pack, or educational material on Memorized That does not constitute an endorsement, recommendation, or approval by Memorized That Inc. We do not:

  • Verify the credentials or qualifications of content creators
  • Review content for accuracy, completeness, or correctness
  • Guarantee that content is up-to-date or reflects current standards
  • Endorse any opinions, advice, or recommendations in user content
  • Certify that content meets any professional, legal, or regulatory standards

6.2 User Assumption of Risk

By accessing and using any user-generated content on Memorized That, you acknowledge and agree that:

  • You use all content at your own risk
  • You are solely responsible for evaluating the accuracy and reliability of any content
  • You should independently verify any information before relying on it
  • Content may contain errors, omissions, or outdated information
  • Memorized That is not liable for any harm resulting from your use of user-generated content

6.3 Not Professional Advice

CONTENT ON MEMORIZED THAT IS FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY.

While we do our best to review content for accuracy, user-generated content does not constitute professional advice of any kind. We do not endorse or guarantee the accuracy, completeness, or reliability of any content on this platform. For matters requiring professional expertise, always consult with appropriately licensed professionals in the relevant field.

Never disregard professional advice or delay seeking it because of something you learned on Memorized That.

6.4 Third-Party Content

Some content may be created by educational institutions, businesses, or other organizations. While these entities may have professional expertise, Memorized That still does not:

  • Verify their credentials or authority
  • Guarantee the accuracy of their content
  • Take responsibility for their content
  • Endorse their products, services, or organizations

6.5 Reporting Concerns

If you believe any content is inaccurate, misleading, harmful, or violates any laws or regulations, please report it to content@memorizedthat.com. While we will review reports, we do not guarantee any action will be taken.

7. Organization Accounts (Group/Corporate)

6.1 Administrator Responsibilities

Organization administrators are responsible for:

  • Managing user access and permissions
  • Ensuring members comply with these Terms
  • All activities under member accounts they create
  • Payment for all seats in the organization

7.2 Data Sharing

Organization members understand that administrators can view their study progress and performance data.

8. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted access. We may:

  • Perform scheduled maintenance with notice
  • Make emergency updates without notice
  • Modify or discontinue features at any time
  • Suspend service for security reasons or violations

We are not liable for any loss or inconvenience due to service interruptions.

9. Termination

9.1 By You

You may delete your account at any time from your account settings. Upon deletion:

  • Your personal data will be deleted within 30 days
  • No refunds will be provided for remaining subscription time
  • You will lose access to all Your Content

9.2 By Us

We may suspend or terminate your account immediately without notice if:

  • You violate these Terms
  • Your account is used for illegal activities
  • Payment fails and you do not update payment information
  • We are required to do so by law

No refunds will be provided for accounts terminated for violations.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • Warranties of merchantability and fitness for a particular purpose
  • That the Service will be error-free or uninterrupted
  • That defects will be corrected
  • That the Service is free of viruses or harmful components
  • The accuracy or reliability of any content

We do not guarantee any specific learning outcomes or results from using the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM:

  • Your use or inability to use the Service
  • Loss or corruption of Your Content
  • Unauthorized access to your account
  • Service errors, interruptions, or delays
  • Third-party content or actions

OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Memorized That Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Content

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@memorizedthat.com to attempt to resolve the dispute informally.

13.2 Arbitration

If we cannot resolve the dispute informally, any dispute will be resolved through binding arbitration in accordance with the American Arbitration Association rules.

13.3 Class Action Waiver

You agree to bring claims only in your individual capacity and not as part of a class action or representative proceeding.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes not subject to arbitration shall be resolved in the state or federal courts located in Delaware.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will:

  • Update the "Last Updated" date
  • Notify you via email or in-app notification
  • Give you the opportunity to review changes before they take effect

Your continued use of the Service after changes become effective constitutes acceptance. If you do not agree, you must stop using the Service and delete your account.

16. Miscellaneous

16.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Memorized That.

16.2 Severability

If any provision of these Terms is found invalid, the remaining provisions will remain in full effect.

16.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

16.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms to any successor or affiliate.

16.5 Force Majeure

We are not liable for delays or failures due to causes beyond our reasonable control.
